Ministerial directive regulating infrastructure debentures sanctioned in Brazil

Silvio Costa Filho, Brazilian Minister of Ports and Airports, sanctioned a ministerial directive on August 29th that builds on Decree 11.964/2024, establishing criteria to streamline the issuance of infrastructure debentures. The signing took place at the headquarters of the Federation of Industries of the State of São Paulo (Fiesp). The decision was included in the country’s Official Gazette as of this Friday (30th).
The criteria outlined in the ministerial directive will allow infrastructure debentures to be issued to finance investments in ports and airports without prior approval from the Ministry of Ports and Airports (MPor), speeding up the process. Currently, there is a two- to three-month wait for this authorization.
These financial instruments were created by law to encourage infrastructure investments through the capital markets. The updated rules aim to bring greater transparency to the issuance process of two types of securities. Infrastructure debentures were introduced in January of this year under Law 14.801.
Interested investors will be able to access a step-by-step guide on how to submit documents on the MPor website. An electronic form will also be made available. The regulation will detail all necessary documentation to complete the Investment Project Form.
